1. Introduction

ProSansaar ("we", "platform", "us") operates a global professional services marketplace at prosansaar.com. Registered office: 212 Grohitam Building, Sector-19, Vashi, Navi Mumbai, Maharashtra 400703, India. By accessing or using the platform, you ("user", "you") agree to be bound by these Terms.

2. Eligibility

  • Must be 18+ years old
  • Must be from a country on our safe whitelist (175+ countries)
  • Must provide accurate KYC information (Professionals)
  • Must not be on any sanctions list (FATF, OFAC, UN)

3. Geo-Compliance (Multi-Tier Country Policy)

3.1 Tier 1 — Hard Banned (Access Blocked)

Iran, North Korea, Myanmar, Syria, Russia, Somalia, Cuba, Belarus, Venezuela, Crimea/Donetsk/Luhansk regions. Reason: FATF blacklist + global sanctions. IP geoblock enforced.

3.2 Pakistan Protocol

Hard block on Pakistani IPs. Disabled in country dropdown. Reason: MeitY directives under Section 69A IT Act, RBI scrutiny on INR-PKR routing.

3.3 Tier 2 — Admin Review (Enhanced Due Diligence)

FATF Grey List countries: Yemen, Venezuela, Lebanon, Kuwait, Papua New Guinea, Nepal, Angola, Bolivia, Bosnia and Herzegovina, Bulgaria, Cameroon, Cote d'Ivoire, DR Congo, Haiti, Iraq, Kenya, Laos, Monaco, South Sudan, Vietnam, Virgin Islands (UK). Signup allowed; payouts locked pending manual EDD.

3.4 China — Digital Sovereignty Flag

Registration allowed. Triggers admin alert for secondary review. Reason: Indian digital security reviews.

4. Account Registration

  • Clients: Email + mobile verification only. No KYC.
  • Professionals/Educators: KYC required. Manual verification 24-48 hours.
  • One account per person. Duplicate accounts result in permanent ban.
  • You are responsible for maintaining password confidentiality.

5. Marketplace Model

ProSansaar operates a marketplace-style billing model: Freelancer/Professional bills ProSansaar; ProSansaar bills Client. Single Tax Invoice issued to Client; SOP/RCM invoice issued to Pro.

6. Fees & Payments

6.1 Commission & Processing Fee

  • Platform Commission: 15% (from Professional, on completed orders)
  • Processing Fee: 5% (from Client, at checkout, NON-REFUNDABLE)
  • GST 18% on (Gig + PF) for Indian clients

6.2 Indian Tax Engine

  • TDS Section 194-O: 0.10% on gross gig value (5% if PAN invalid/Aadhaar unlinked); Rs 5L annual threshold exempts resident Individuals/HUF only
  • GST TCS Section 52: 0.50% on net taxable value (intra-state: 0.25% CGST + 0.25% SGST; inter-state: 0.50% IGST). For GST-registered Indian Pros only.
  • RCM 18% IGST for Indian clients hiring foreign pros (PS/RCM/ invoice)
  • SAC code: 998312

6.3 Subscription Plans (Professionals)

Bidding Plans: Free (1 bid/day), Starter Rs 299/mo (5 bids/day), Growth Rs 499/mo (10 bids/day), Unlimited Rs 999/mo (unlimited bids). Foreign equivalents: $5/$10/$25.

Featured Listing Plans: Featured Basic Rs 999/mo, Premium Rs 1,999/mo, Elite Rs 2,999/mo. Optional add-on, combinable with any bidding plan.

All subscriptions auto-renew monthly. Cancel anytime. Non-refundable after activation.

6.4 Withdrawal

  • Minimum: Rs 1,000 (Indian) or $20 (Foreign)
  • Processing time: within 7 days
  • Zero withdrawal charges (platform absorbs gateway fees)
  • Indians: Razorpay RTGS/IMPS/UPI. Foreigners: PayPal/Wise/SWIFT.

6.5 Currency

INR (Indian transactions via Razorpay) and USD (international via PayPal) only. All transactions stored in INR for FEMA compliance. No other currencies supported.

7. Order Lifecycle

Draft → Posted → Quoted → Accepted (Safe Hold triggered) → In Progress → Submitted → Revision Requested (optional) → Approved → Completed (payment released, invoices generated). Auto-approval: 3 days after delivery if no client response.

8. Bidding Rules

  • Max 15 bids per project (then auto-close)
  • Bid validity: 72 hours (auto-expires if client doesn't respond)
  • Free withdraw before client accepts
  • Spam bidding, irrelevant bids → account warning/ban

9. Revisions

Unlimited free revisions allowed. Professional sets revision policy in service description. Excessive scope creep beyond agreed scope = renegotiation or new order.

10. Non-Circumvention

  • 24-month non-circumvention period from first contact
  • Off-platform deals strictly prohibited
  • Chat scans for phone numbers, emails, social handles, UPI IDs, external meeting links — auto-blocked
  • Opt-Out Fee for off-platform engagement: greater of $3,500 USD or 20% annualized value
  • Violations = permanent ban + legal action

11. Excluded Services

ProSansaar does NOT allow:

  • Litigation lawyers (court representation)
  • SEBI Research Analysts, Investment Advisors, stock tip providers
  • Mutual Fund Distributors, Insurance Advisors (commission-routing services)
  • Stock brokers, derivative trading services
  • Any illegal, unethical, or banned services

12. Intellectual Property

  • Pro retains IP until full payment received
  • Upon payment, IP transfers to Client (unless otherwise agreed)
  • Education Hub content: Educator retains IP; students get limited license
  • ProSansaar brand, logo, design: owned by ProSansaar

13. Disputes & Liability

  • Disputes resolved by ProSansaar admin (final binding)
  • Resolution time: 48-72 hours
  • Platform liability capped at total platform fees retained in last 3 months
  • Chargebacks recovered from Pro if Pro at fault

14. User Conduct

Prohibited: harassment, fraud, fake KYC, fake reviews, off-platform circumvention, illegal content, intellectual property infringement. Violations = warning → suspension → permanent ban.

15. Service Modifications

ProSansaar may modify, suspend, or discontinue any feature at any time without notice. Users will be notified of material changes via email.

16. Governing Law & Jurisdiction

Governing Law: Laws of India.
Exclusive Jurisdiction: Courts of Mumbai, Maharashtra. All disputes shall be resolved exclusively in Mumbai courts.

17. Indemnification

Users indemnify ProSansaar against any claims arising from their use of the platform, violations of these Terms, or infringement of third-party rights.

18. Limitation of Liability

ProSansaar provides the platform "as is" without warranties. Maximum liability = platform fees retained in last 3 months. We are not liable for: (a) Pro's work quality, (b) Client's payment defaults beyond Safe Hold, (c) indirect/consequential damages.

19. Termination

Either party may terminate account at any time. Active orders must be completed or refunded. Platform may suspend/ban accounts for violations.
